‘Corporate governance’ is a term that has grown, and will continue to grow, in meaning. It is no longer just about the checks and balances on the exercise of power by an organisation’s governing body and its management. Instead of viewing corporate governance as a set of negative controls (controls that limit and constrain action), the Gibson Governance approach is to work with its clients to develop effective governance processes by which value can be created, or enhanced, for an organisation.
Unlike the traditional large law firm approach of billing a client based on an hourly charge-out rate, Gibson Governance works with its clients to define a project-specific and transparent fee that reflects the outcomes achieved.
Sally Gibson, the founder of Gibson Governance, is an experienced fund formation and investment management lawyer. Sally worked in London for over a decade and, during this period, also spent significant time in New York. Gibson Governance capitalises on this experience to provide a unique perspective on private fund and investment management matters.

Corporate Secretarial

Good governance practices are essential to effective decision-making. Gibson Governance supports its clients with the implementation of these practices.
We provide a range of corporate secretarial services, including:

preparing minutes of board meetings and meetings of board committees, coordinating such meetings (including agenda preparation) and maintaining board and committee ‘to do’ lists;

assisting with regulatory filings; and

managing reporting obligations.
Gibson Governance understands the importance of good governance practices for all types of organisations, including not-for-profits, but recognises the financial constraints on NFPs. In recognition of these constraints and in support of the development of the Northern Rivers of New South Wales, for each 10 corporate secretarial engagements it accepts, Gibson Governance commits to provide equivalent corporate secretarial services to a Northern Rivers-based NFP for a 12 month period on a pro bono basis.
